Artist Submission & Streaming License Agreement

This Artist Submission & Streaming License Agreement (“Agreement”) governs the submission of music to MannaStream.

MannaStream is a curated digital Christian music streaming service operated by Whidbey Media LLC.

By submitting music through the MannaStream online submission form and electronically acknowledging acceptance of this Agreement, the submitting artist (“Artist”) agrees to be legally bound by the terms below.

1. Nature of Service

MannaStream is a curated streaming platform. It is not an open upload or self-publishing service.

All programming decisions, including acceptance, placement, rotation, feature status, and removal of music, are made solely at the discretion of MannaStream.

Submission does not guarantee:

  • Acceptance
  • Playlist placement
  • Minimum streams
  • Continued availability

MannaStream specializes in adult contemporary Christian music with easy listening, jazz-influenced, and soft rock characteristics. Works that do not align with this format may be declined.

2. Grant of Limited Streaming License

Artist grants MannaStream a non-exclusive, worldwide, revocable license to digitally stream the submitted sound recordings and underlying compositions (“Works”) solely through MannaStream’s platforms.

This license includes:

  • Streaming rights only
  • No download rights
  • No ownership transfer
  • No sublicensing except as necessary for hosting and technical operation

Artist retains full ownership of all rights in the Works.

3. Performing Rights Organization Restriction

Artist represents and warrants that:

  • The submitted Works are not registered with ASCAP, BMI, SESAC, or any other performing rights organization.
  • The Works are not subject to third-party public performance royalty collection.
  • Artist will immediately notify MannaStream if any Work becomes registered with a performing rights organization.

Registration with a PRO constitutes material breach and may result in immediate removal.

4. Ownership & AI Representation

Artist represents and warrants that:

  • Artist is the sole owner of all rights in the submitted Works.
  • If AI tools were used, such tools permit commercial streaming and monetization.
  • Artist has complied with all applicable AI platform terms of service.
  • No unauthorized copyrighted material, samples, or protected works were used.
  • The Works do not infringe upon any intellectual property rights.

5. Programming & Placement

MannaStream retains sole and absolute discretion regarding:

  • Acceptance or rejection
  • Playlist placement
  • Rotation frequency
  • Feature status
  • Removal at any time

No guarantees of exposure, performance, or promotional support are made.

6. Compensation (Subscriber Tier Only)

Compensation applies only to streams occurring within the paid subscription tier of MannaStream.

Artist shall receive:

$0.01 per Qualified Stream

A “Qualified Stream” is defined as at least thirty (30) consecutive seconds of playback as measured solely by MannaStream’s internal analytics systems.

Additional terms:

  • MannaStream analytics are final and controlling.
  • Payments are issued quarterly.
  • Minimum payout threshold is $25.
  • Artist is responsible for all taxes.
  • IRS Form 1099 will be issued if required by law.
  • No compensation is owed for streams occurring in the free ad-supported tier.

MannaStream reserves the right to exclude fraudulent, artificial, repetitive, or abusive streaming activity.

7. Term and Removal

This Agreement remains in effect for one (1) year from the date of electronic acceptance and automatically renews unless terminated.

Artist may request removal with thirty (30) days written notice.

MannaStream may remove Works at any time, with or without notice, particularly in cases of material breach.

8. Indemnification

Artist agrees to indemnify, defend, and hold harmless MannaStream, Whidbey Media LLC, and their respective owners, officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:

  • Breach of representations or warranties
  • Copyright or intellectual property claims
  • Ownership disputes
  • AI platform non-compliance
  • Violation of applicable laws

Artist assumes full responsibility for the legality of the submitted Works.

9. Limitation of Liability

In no event shall MannaStream or Whidbey Media LLC be liable for indirect, incidental, consequential, special, or punitive damages arising out of this Agreement.

10. Electronic Acceptance

Artist agrees that checking the acceptance box and submitting the MannaStream online submission form constitutes a legally binding electronic acceptance of this Agreement.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington.

12. Entire Agreement

This Agreement constitutes the entire understanding between MannaStream and Artist regarding submission and streaming of the Works.
